These Terms of Service apply to the website design, development, maintenance and related services Four Cents provides under the WPDeveloper.ca name ("Services"). They form part of every proposal, quote or statement of work we sign with a client ("Proposal"). If the Proposal and these Terms disagree, the Proposal wins for that project.

1. Scope

We deliver what the Proposal describes, nothing more. Anything outside it, including new features, extra pages, additional rounds of design changes or work caused by third-party changes, is a change request. We quote change requests in writing and start them only after you approve.

2. What we need from you

  • Content, images, feedback and approvals within the agreed times. Delays on your side move the schedule and may be billed if they stretch a project significantly.
  • Access to hosting, domains, plugins and third-party accounts we need for the work.
  • Confirmation that you own or have licences for the content, images, fonts, trademarks and data you give us, and that your own claims on your site (prices, health, legal, product or performance claims) are accurate and lawful. You are responsible for that content.
  • Your own legal, privacy, tax and accessibility obligations as a business, including your privacy policy, cookie consents and any industry rules such as health privacy laws or real estate board rules.

3. Fees and payment

Fees, milestones and payment dates are in the Proposal. Unless it says otherwise, a deposit is due before work starts and the balance is due at the milestones listed. Deposits are non-refundable once work has started, because they pay for time already reserved and spent. Invoices are due within 14 days. Late amounts may carry interest of 1.5 percent per month (19.56 percent per year) and we may pause work until accounts are current. Prices are in Canadian dollars and exclude applicable taxes. Third-party costs such as hosting, domains, premium plugins, stock images and payment processing fees are yours unless the Proposal includes them.

4. Ownership

When you have paid in full, you own the custom design and code we create for you for the project. We keep ownership of our pre-existing tools, code libraries and know-how, and grant you a perpetual licence to use any of them included in your site. Third-party software, themes, plugins and fonts remain under their own licences. Until full payment, we may keep the work on our staging environment. We may show the finished project in our portfolio unless you ask us not to in writing.

5. Third-party platforms

Your site relies on software and services we do not control, including WordPress core, plugins, themes, hosting providers, payment gateways, email services, MLS and IDX data providers and browsers. Their updates, outages, price changes, policy changes, security issues or end of support are outside our control and are not defects in our work. Fixing problems they cause is billable unless you have a care plan that covers it.

6. No guarantee of results

We do careful, professional work, but we do not guarantee search rankings, traffic, leads, sales, conversion rates, page speed scores on any particular day, uninterrupted availability, or that a site can never be hacked. Accessibility, privacy and security work is technical work done to recognised standards; it is not a legal opinion or a certification of compliance with the AODA, the ADA, WCAG, PIPEDA, HIPAA or any other law or standard. Get legal advice on your obligations.

7. Warranty on our work

For 30 days after launch we fix, free of charge, defects in code we wrote that stop the site working as the Proposal describes. This does not cover problems caused by changes made by you or others, third-party updates, hosting, misuse or new requirements. Apart from this warranty and to the fullest extent permitted by law, the Services are provided without other warranties, express or implied.

8. Care plans and maintenance

Care plans run monthly or yearly as stated in your plan and renew until cancelled with 30 days' written notice. They cover the tasks listed in the plan. Restoring a site from backup, removing malware, and changes beyond the plan's allowance are billed at our current rates unless the plan includes them. Backups are a safeguard, not a guarantee that every piece of data can be recovered.

9. Limitation of liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, business or goodwill, even if warned they were possible. Our total liability arising from a project or care plan, whether in contract, negligence or otherwise, is limited to the fees you paid us for that project or plan in the six months before the claim arose. These limits do not apply to liability that cannot be limited by law.

10. Indemnity

You agree to indemnify us against third-party claims, losses and reasonable legal costs arising from content, data, trademarks or materials you supply, the claims you make on your website, your products or services, or your breach of law, including privacy, consumer protection, accessibility and advertising laws. We agree to indemnify you against third-party claims that code we wrote for you, as delivered, infringes that third party's copyright.

11. Confidentiality

Each party keeps the other's non-public business information confidential and uses it only for the project. We will sign a reasonable non-disclosure agreement on request. When we handle personal information on your behalf, we use it only to provide the Services and protect it as described in our Privacy Policy.

12. Ending a project

Either party may end a project with written notice if the other seriously breaches these Terms and does not fix it within 14 days. You may also end a project for convenience with written notice. In either case you pay for work done and expenses committed up to the end date, and we hand over the completed work you have paid for.

13. Events outside our control

Neither party is responsible for delays caused by events beyond reasonable control, such as outages, cyberattacks, illness, natural events or government action, provided it tells the other party and resumes as soon as it reasonably can.

14. Governing law and disputes

These Terms and every Proposal are governed by the laws of Ontario and the federal laws of Canada that apply there. The parties will first try in good faith to settle any dispute by discussion within 30 days. If that fails, the courts in Toronto, Ontario have exclusive jurisdiction.

15. General

The Proposal and these Terms are the whole agreement for the project and replace earlier discussions. Changes must be in writing, which includes email. If any term is unenforceable, the rest still applies. Neither party may assign the agreement without consent, except to a successor of its business. We may use qualified subcontractors and remain responsible for their work.
